Terms of Service
These terms govern your use of Karnyx. We have written them to be clear and straightforward -- no hidden surprises.

1. Acceptance of Terms
By creating an account or using Karnyx (“Karnyx,” “the Service,” “we,” “our”), you agree to be bound by these Terms of Service. If you are using Karnyx on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree with any part of these terms, please do not use the Service. You can always close your account and delete your data at any time.
2. Description of Service
Karnyx is a meeting intelligence platform for macOS. The Service captures meeting audio, generates transcripts and summaries using AI, extracts action items, and builds a searchable, people-indexed archive of your professional conversations.
We continuously improve and evolve the Service. This means we may add, modify, or remove features from time to time. We will notify you of significant changes that affect your existing workflows before they take effect.
3. Account Responsibilities
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Please use a strong, unique password and enable two-factor authentication when available.
- You must provide accurate and complete information when creating your account.
- You must be at least 16 years old to use the Service.
- You are responsible for ensuring your use of Karnyx complies with all applicable laws, including recording consent laws in your jurisdiction.
- You must notify us immediately if you suspect unauthorized access to your account.
4. Acceptable Use
We built Karnyx to help professionals work more effectively. You agree not to use the Service in ways that are harmful, illegal, or disruptive. Specifically, you agree not to:
- Record conversations without appropriate consent as required by applicable law.
- Use the Service to harass, surveil, or monitor individuals without their knowledge or consent.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Use automated scripts or bots to access the Service in a way that exceeds reasonable use.
- Resell, sublicense, or redistribute the Service without written permission.
- Upload or transmit malicious code, viruses, or any material designed to disrupt the Service.
- Use the Service to store or transmit content that is illegal, defamatory, or infringes on the rights of others.
We reserve the right to suspend or terminate accounts that violate these guidelines. We will make reasonable efforts to notify you before taking action, except where immediate suspension is necessary to protect other users or the integrity of the Service.
5. Intellectual Property
Your data is yours. You retain all ownership rights to the meeting recordings, transcripts, notes, and any other content you create or upload through the Service. We do not claim any intellectual property rights over your content.
You grant us a limited license to process, store, and display your content solely for the purpose of providing and improving the Service. This license ends when you delete your content or close your account.
The Karnyx application, website, brand, and underlying technology are owned by us and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding.
6. Subscription and Billing
Karnyx is offered through subscription plans billed monthly or annually. Pricing details are available on our pricing page. All fees are quoted in US dollars unless otherwise stated.
- Free trials, when offered, convert to paid subscriptions at the end of the trial period unless you cancel beforehand.
- Subscription renewals are automatic. You will be charged at the beginning of each billing cycle.
- You can upgrade, downgrade, or cancel your plan at any time from your account settings. Downgrades and cancellations take effect at the end of the current billing period.
- Refunds are handled on a case-by-case basis. If you are unhappy with the Service, contact us and we will do our best to make it right.
7. Limitation of Liability
The Service is provided on an “as is” and “as available” basis. While we work hard to keep Karnyx reliable and accurate, we cannot guarantee that the Service will be uninterrupted, error-free, or that AI-generated content will be perfectly accurate.
To the maximum extent permitted by law, Karnyx and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.
8. Disclaimer
AI-generated transcripts, summaries, and action items are provided as aids, not as definitive records. Transcription accuracy depends on audio quality, speaker clarity, and other factors. You should always verify critical information from AI-generated outputs before making important decisions based on them. Karnyx is not a substitute for professional legal, financial, or compliance advice.
9. Termination
You can close your account at any time from your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately and your data will be permanently deleted within 30 days.
We may suspend or terminate your account if you violate these terms, if your account has been inactive for an extended period, or if we are required to do so by law. In cases of termination for cause, we will provide notice and a reasonable opportunity to export your data when possible.
10. Changes to These Terms
We may update these terms from time to time. When we make material changes, we will notify you via email at least 30 days before the changes take effect. If you disagree with the updated terms, you may close your account before they become effective. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising from or relating to these terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
